Philip Lazare studied law in Munich and Berlin, Germany. After a few years working for the (now dissolved) German post-unification privatization agency (Treuhandanstalt) and for a high-tech medical device company in Berlin, he joined a large MDP firm and was responsible for establishing offices in Poland and China. Philip has worked in Shanghai since 2000.

Philip’s main clients are European SMEs and large corporates that are active in the Chinese market, either as greenfield investors or through acquisitions and joint ventures. His work covers a large spectrum of industries and legal disciplines including corporate structuring, M&A/JVs, competition, real estate, tax, data security & privacy, financial services regulations and others.

Zhong Yuan studied law at Tongji University and University Konstanz (Germany) and obtained a master’s degree in law and LL.M. respectively. He passed PRC national judicial examination in 2012 and began to practice as professional lawyer in 2015. He joined Shaohe Law Firm in 2017.

Mr. Zhong specializes in the areas of Corporate law, M&A, and Dispute Resolution. He primarily advises German and European companies on business activities in China. He assisted several German companies on their acquisition of Chinese companies, including but not limited to due diligence, draft transactional documents and negotiation.

In addition, He has gained rich practical experience in litigation and international arbitration. He represents a number of foreign clients in litigation and arbitration cases, covering disputes over technology research and development, product liability, trading, equity and various contractual disputes.
